1. Purpose
This Policy sets out SPCI HELM’s commitment to conducting business ethically, with integrity, and in full compliance with applicable anti-bribery and corruption laws. All vendors, agents, consultants, and business partners (“Business Partners”) must uphold these standards when engaging with us.
2. Scope
This Policy applies to all Business Partners, including suppliers, distributors, contractors, joint venture partners, intermediaries, and third parties acting on behalf of or in connection with SPCI HELM.
3. Zero Tolerance on Bribery and Corruption
SPCI HELM has a strict zero-tolerance policy toward all forms of bribery and corruption. This includes but is not limited to:
- Offering, promising, giving, requesting, or accepting anything of value to improperly influence a business decision
- Facilitation payments (small unofficial payments made to expedite routine actions)
- Kickbacks or secret commissions
- Bribes to government officials or private institutions/individuals
4. Prohibited Conduct
Business Partners must not:
- Offer or receive bribes in any form
- Provide or accept gifts, hospitality, or entertainment intended to influence decisions
- Falsify invoices, financial records, or reporting related to business transactions
- Participate in or enable conflicts of interest
- Ignore or conceal knowledge of potential misconduct
5. Gifts, Hospitality & Entertainment
Gifts or hospitality may only be offered or accepted if they are:
- Reasonable and modest in value
- Not intended to influence a decision
- Approved in advance (if required under our policy)
Extravagant or cash-based gifts are strictly prohibited.
6. Reporting Concerns and Whistleblowing
Business Partners must report any actual, suspected, or attempted bribery or corruption involving SPCI HELM’s employees.

7. Training and Communication
Where necessary, Business Partners are required to participate in anti-bribery and compliance training provided by SPCI HELM or certify that your own ABC policies are in place and enforced.
8. Breach of Policy
Any breach of this Policy may result in:
- Termination of business relationships
- Reporting to relevant authorities
- Legal or financial consequences
9. Acknowledgement
All Business Partners are required to read, understand, and comply with this Policy. By continuing to engage in business with SPCI HELM, you acknowledge and agree to be bound by the terms of this Policy.
